Terms of Service

These Terms include additional provisions for ArtyChat payment processing and merchant services.
Important Notice
ArtyChat provides software and, where enabled, payment facilitation through third-party banking and payment partners. ArtyChat is not a bank and does not provide legal, tax, or financial advice. You are responsible for your compliance with applicable laws and the rules of card networks and payment partners.
1. Acceptance of Terms
By accessing or using ArtyChat (the “Services”), including booking, messaging, storefront, links, and any payment features, you agree to these Terms and our Privacy Policy. If you are using the Services on behalf of a business, you represent that you have authority to bind that business.
2. Service Description
ArtyChat provides tools for scheduling/booking, communications, digital storefronts, payment links, customer management, and related features. Certain features integrate with third-party services such as Google Calendar and Meta (WhatsApp Business). Payment processing (when enabled) is provided via third-party acquiring/banking/payment partners (“Payment Partners”).
3. Eligibility, Account & Security
- You must provide accurate account and business information and keep it updated.
- You are responsible for all activity under your account, including actions by staff or contractors you authorize.
- You must maintain reasonable security practices (strong passwords, device security, and access controls).
4. User Responsibilities & Prohibited Use
You agree to:
- Use the Services only for lawful purposes and in compliance with these Terms.
- Not misuse, interfere with, or attempt to bypass security, risk checks, or technical restrictions.
- Not use the Services for prohibited or high-risk activities, illegal goods/services, or to facilitate fraud or money laundering.
We may suspend or terminate access if we reasonably suspect fraud, illegal activity, excessive chargebacks, policy violations, or risk to ArtyChat, Payment Partners, card networks, or customers.
5. Google Calendar Integration
When connecting your Google Calendar:
- We access only calendar data needed for booking functionality.
- You can revoke access at any time via your Google Account settings.
- We do not store your Google credentials.
6. WhatsApp Business Integration
By connecting your Meta (WhatsApp Business) account:
- You grant us permission to access your WhatsApp Business account for messaging purposes.
- You agree to comply with WhatsApp's Business Policy and Commerce Policy.
- You are responsible for all messages sent through your connected WhatsApp Business account.
- You may disconnect your WhatsApp Business account at any time through your account settings.
- We are not responsible for WhatsApp/Meta account restrictions, template rejections, or message delivery issues outside our control.
This integration is governed by Meta’s WhatsApp Business Terms of Service.
7. Payment Services (Gateway, Processing & Payouts)
If you enable payment features, you are using ArtyChat to facilitate payments for goods/services you sell (“Merchant”). Payment processing is performed by Payment Partners and is subject to their onboarding, underwriting, risk rules, and policies.
7.1 Merchant Responsibilities
- You are the seller of record for your products/services and are solely responsible for fulfillment, refunds, returns, customer support, taxes, and legal compliance.
- You must provide clear descriptions, delivery timelines, cancellation/refund policies, and accurate customer-facing information.
- You agree not to process prohibited transactions (illegal goods/services, deceptive marketing, counterfeit goods, fraud, or activities restricted by card networks or Payment Partners).
7.2 Authorization, Settlement & Availability of Funds
Card or bank payments may be authorized at the time of purchase but can be reversed, disputed, or charged back later. “Available balance” does not mean the transaction is final.
- Payout timing depends on underwriting, risk controls, and the Payment Partners’ settlement schedule.
- ArtyChat and/or the Payment Partners may place reserves, holds, or delays on payouts to mitigate risk.
- The banking or payment partner may hold funds for up to 180 days (or longer if legally required) in cases of disputes, chargebacks, suspected fraud, compliance review, account closure, or other risk events.
7.3 Refunds, Disputes & Chargebacks
You are responsible for handling refund requests and customer disputes in a timely manner. Cardholders may file disputes and chargebacks through their bank. Chargebacks can occur even after a payout.
- If a dispute/chargeback occurs, you authorize ArtyChat and/or Payment Partners to debit your balance (or future payouts) for the transaction amount, chargeback fees, and associated costs.
- You agree to promptly provide evidence (receipts, delivery proof, communication logs, policy disclosures) needed to contest disputes.
- ArtyChat/Payment Partners may impose dispute/chargeback thresholds; exceeding them may result in delayed payouts, reserves, higher fees, or termination.
7.4 Risk Controls, Holds, Reviews & KYC/AML
To protect customers and comply with financial regulations and card network rules, ArtyChat and Payment Partners may conduct identity/business verification, fraud screening, sanctions screening, and ongoing monitoring.
- You must provide requested verification documents promptly (KYC/KYB), and you authorize checks with third-party providers.
- We may limit transaction size, delay payouts, request additional info, or suspend processing during review.
- We may share transaction and risk data with Payment Partners, banks, card networks, and law enforcement when required.
7.5 Fees
Fees (including processing fees, platform fees, network fees, and chargeback/refund fees) may apply and will be disclosed in your plan, dashboard, or during checkout/activation. Fees may be deducted from transaction amounts, your balance, or future payouts. The activation fee is NOT REFUNDABLE once your account has been activated.
7.6 No Bank Relationship
ArtyChat is not a bank. Funds are processed and held by Payment Partners and/or regulated financial institutions until settlement and payout. Availability of funds is subject to their policies, risk review, and legal requirements.
8. Data, Privacy & Communications
You consent to receive operational communications (e.g., receipts, service notices, risk requests) via email, SMS, WhatsApp, or in-app messages. Your use of the Services is also governed by our Privacy Policy, including how we collect, use, and share data for fraud prevention, compliance, and service delivery.
9. Intellectual Property
ArtyChat and its licensors own the Services, software, and related intellectual property. You receive a limited, non-exclusive, non-transferable license to use the Services as intended. You may not copy, modify, reverse engineer, or resell the Services except as permitted in writing.
10. Suspension, Termination & Account Closure
We may suspend or terminate your access to the Services (including payment features) immediately if we believe it is necessary to: (a) comply with law; (b) protect ArtyChat, Payment Partners, customers, or the public; or (c) address fraud, chargeback risk, or policy violations. The activation fee is NOT REFUNDABLE once your account was activated.
Upon closure, funds may remain subject to reserves/holds, dispute windows, and compliance reviews. The banking or payment partner may hold funds for up to 180 days (or longer if legally required) as described above.
11. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARTYCHAT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT TRANSACTIONS WILL ALWAYS BE AUTHORIZED OR SETTLED.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARTYCHAT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARTYCHAT’S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT OF FEES YOU PAID TO ARTYCHAT IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM (OR $100 USD IF YOU PAID NO FEES), UNLESS A DIFFERENT LIMITATION IS REQUIRED BY LAW.
13. Indemnification
You agree to defend, indemnify, and hold harmless ArtyChat, its affiliates, officers, directors, employees, agents, and Payment Partners from any claims, losses, liabilities, damages, costs, and expenses (including attorneys’ fees) arising from: (a) your products/services, (b) your breach of these Terms, (c) disputes/chargebacks, (d) your violation of law or third-party rights, or (e) misuse of the Services.
14. Changes to Terms
We may update these Terms from time to time. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms. If changes are material, we may provide additional notice as required by law.
15. Governing Law
These Terms are governed by applicable laws as determined by ArtyChat based on the entity providing the Services and your location, without regard to conflict of law principles. If required, certain disputes may be handled in courts of competent jurisdiction.
